INTERNATIONAL

ACCORDING TO THE STANDARD FORM ADOPTED BY THE KIWANIS INTERNATIONAL BOARD,MAY 1, 1996 AND AS AMENDED TO AND INCLUDING JUNE 26, 2000 AND INCLUDING THE AMENDMENTS VOTED DURING THE CONVENTION OF CATANIA SEPTEMBER 14-15, 2001 AND APPROVED BY KIWANIS INTERNATIONAL

ARTICLE I. NAME AND TERRITORIAL LIMITS

Section 1. The name of this organization shall be the Italy District of Kiwanis International, headquartered in Rome.

Section 2. The territorial limits of this district shall be confined to the Italian Republic.

Neither the district name nor territorial limits shall be changed unless permission shall first have been obtained from the International Board of Trustees.

ARTICLE II. OBJECTS

Section 1. The objects of this district shall be:

a. To seek within the district and through the clubs of the district the attainment of the Objects of Kiwanis International as set forth in the Constitution.

b. To increase the fellowship and cooperative effort of clubs within the district.

c. To cooperate with Kiwanis International in building new clubs and membership in existing clubs, educating club members, and strengthening club services within the district.

d. To promote participation of clubs in the general objectives, programs, and policies of the district and Kiwanis International.

ARTICLE III. DIVISIONS

Section 1. The territory of this district shall be divided into divisions.

Section 2. The territorial limits of these divisions shall be such as delineated from time to time by the District Board of Trustees.

ARTICLE IV. MEMBERSHIP

Section 1. Every chartered Kiwanis club in this district shall be a member of this district.

Section 2. Any member club more than sixty (60) days in arrears for any indebtedness to Kiwanis International or to this district shall not be considered “in good standing”.

Section 3. Any member club that fails for two (2) successive years to have at least one (1) delegate present at the annual district convention and, within thirty (30) days after a request by the District Board of Trustees to furnish a satisfactory excuse for such failure, shall not be considered “in good standing”.

Section 4. To retain the privileges of district membership, a club must be “in good standing”, as defined from time to time by the Kiwanis International Board of Trustees.

ARTICLE V. OFFICERS

Section 1.

a. The officers of the district shall be the Governor, Governor-elect, Immediate Past Governor, Secretary, Treasurer, and a Lieutenant Governor for each division.

b. No offices other than those of Secretary and Treasurer may be combined in one (1) person.

c. If in any year the Immediate Past Governor ceases to be an active, senior, or privileged member in a club of the district, the active, senior, or privileged member who served as Governor most recently prior to the Immediate Past Governor shall automatically become the Immediate Past Governor.

Section 2. The terms of all district officers shall begin on the first day of October of each year and continue for one (1) year, or until their successors shall be duly elected and qualified.

Section 3. Each district officer shall be an active, senior, or privileged member in good standing in a club of the district; and each Lieutenant Governor shall be an active, senior or privileged member in good standing in a club in the division from which elected.

Section 4. Each district officer has the duty and responsibility to:

a. Promote the Objects and objectives of Kiwanis International; and

b. Promote the interests of the clubs within the district.

Section 5. The Governor has the further duties and responsibilities:

a. Be the chief executive officer of the district.

b. Under the direction and supervision of the International Board of Trustees, further the Objects of Kiwanis International and promote the interests of the clubs within the district.

c. Preside at all conventions and meetings of the District Board of Trustees.

d. Attend all Conventions, Conferences, and Council Meetings of Kiwanis International.

e. Be an ex-officio member of all standing and special committees.

f. Perform such duties and responsibilities as are currently prescribed or as may be amended in the future in the Constitution and Bylaws, the Kiwanis International Board Policies and Procedures, or the district bylaws.

Section 6. The Governor-elect has the further duties and responsibilities:

a. Attend the training conferences for Governors-elect.

b. Be responsible for the training of district officers-designate.

c. Be responsible for the training of club officers and members at the district convention.

d. Perform such duties and responsibilities as are currently prescribed or as may be amended in the future in the Constitution and Bylaws, the Kiwanis International Board Policies and Procedures, or the district bylaws.

e. Carry out such other duties and responsibilities as are from time to time assigned by the District Board of Trustees.

Section 7. The Immediate Past Governor shall perform such duties and responsibilities as usually pertain to such office or as may be assigned by the District Board of Trustees.

Section 8. The District Secretary has the further duties and responsibilities:

a. Keep all records of the district.

b. Assist the Governor and the District Board of Trustees in conducting the business of the district.

c. Be the executive in charge or the District Office and its departments and, subject to the direction and control of the District Board of Trustees, select and supervise the staff and employees.

d. Submit to the proper officers, committees, or persons, all communications received from Kiwanis International, and cooperate with the Governor in forwarding all reports required by Kiwanis International.

e. Attend and keep the minutes of the meetings of the District Board of Trustees and the district conventions.

f. Attend all Conventions of Kiwanis International, and if invited, attend meetings of the International Council.

g. Keep the financial accounts and records and be responsible for proper internal control procedures; including the receipt, deposit, and disbursement of district and sponsored organization funds in the manner authorized and prescribed by the District Board of Trustees.

h. At all times, make available for inspection by the Governor, the District Board of Trustees, or any authorized auditors, the financial accounts, records, and books of the district and its sponsored organizations.

i. Make a report to the district at its annual convention and such other reports as directed by the Governor or the District Board of Trustees.

j. Perform such other duties and responsibilities as usually pertain to such office or as may be assigned by the Governor or the District Board of Trustees.

k. Give bond for the faithful discharge of the duties of such office, in such amount and with such sureties as are required by the District Board of Trustees.

Section 9. The District Treasurer has the further duties and responsibilities:

a. Be a member of the Finance Committee.

b. Regularly review and advise the District Board of Trustees on the financial condition of the district and its sponsored organizations.

c. Make a report at the annual convention.

d. Perform such other duties and responsibilities as usually pertain to such office or as may be assigned by the Governor or District Board of Trustees.

e. Give bond for the faithful discharge of the duties of such office, in such amount and with such sureties as are required by the District Board of Trustees.

Section 10. The Lieutenant Governors have the further duties and responsibilities:

a. Assist the Governor in the work of the district.

b. Represent the Governor and, under the direction of the Governor, supervise the district executive work in their respective divisions.

c. Perform such other duties and responsibilities as usually pertain to such office or as may be assigned by the Governor or District Board of Trustees.

ARTICOLO I - NOME E LIMITI TERRITORIALI

Sezione 1 - Il nome di questa organizzazione è: Kiwanis International Distretto Italia, con sede in Roma.

Sezione 2 - I limiti territoriali del Distretto sono quelli della Repubblica Italiana. Il nome del Distretto ed i confini territoriali non possono essere modificati senza la preventiva autorizzazione del Consiglio di Amministrazione del Kiwanis International.

ARTICOLO II - SCOPI

Sezione 1 - Gli scopi del Distretto sono i seguenti:

a) Realizzare nel Distretto attraverso i Club gli scopi del Kiwanis International secondo quanto

stabilito dal suo Statuto.

b) Incrementare l'amicizia e la cooperazione dei Club del Distretto.

c) Collaborare con il Kiwanis International per la costituzione di nuovi Club ed il potenziamento associativo in quelli esistenti, la formazione dei soci dei Club ed il potenziamento dell'attività dei Club del Distretto.

d) Promuovere la partecipazione dei Club agli obiettivi generali, ai programmi e agli indirizzi di ordine generale del Distretto e del Kiwanis International.

ARTICOLO III - LE DIVISIONI

Sezione 1 - Il territorio di questo Distretto è suddiviso in Divisioni.

Sezione 2 - I confini territoriali delle Divisioni sono quelli stabiliti di volta in volta dal Consiglio Direttivo del Distretto.

ARTICOLO IV - SOCI

Sezione 1 - Ogni Club Kiwanis munito di Charter in questo Distretto è un membro di questo Distretto.

Sezione 2 - Ogni Club membro è considerato moroso (“not in good standing”) se in ritardo per oltre sessanta (60) giorni dalla scadenza prevista per i pagamenti dovuti al Kiwanis International o al Distretto.

Sezione 3 - Ogni Club membro che per due (2) anni consecutivi non abbia partecipato con almeno un (1) delegato alla Convention annuale del Distretto e che entro trenta (30) giorni - in seguito alla richiesta del Consiglio Direttivo del Distretto - non fornisca una giustificazione plausibile per tale mancanza, sarà considerato inadempiente (“not in good standing”).

Sezione 4 - I Club, per conservare i privilegi di appartenenza al Distretto, devono essere in regola (“in good standing”) secondo i criteri stabiliti di volta in volta dal Consiglio di Amministrazione del Kiwanis International.

ARTICOLO V – DIRIGENTI

Sezione 1 -

a) I Dirigenti (Officer) del Distretto sono: Il Governatore, il Governatore Eletto, l'Immediato Past Governatore, il Segretario, il Tesoriere, il Luogotenente Governatore di ogni Divisione

b) Le funzioni di Segretario e Tesoriere sono le uniche che possono essere raggruppate in una sola persona.

c) Se in qualsiasi anno l'Immediato Past Governatore cessa di essere un membro attivo, senior o privilegiato in un Club del Distretto, il membro attivo, senior o privilegiato che è stato l'ultimo Governatore prima dell'Immediato Past Governatore diviene automaticamente l'Immediato Past Governatore.

Sezione 2 - Tutti gli Officer del Distretto entrano in carica il 1° di ottobre di ciascun anno e continuano nella loro funzione per un (1) anno, o fino a quando i loro successori vengono regolarmente eletti e qualificati.

Sezione 3 - Ciascun Officer del Distretto deve essere un socio attivo, senior o privilegiato in regola (“in good standing”) di un Club del Distretto; ciascun Luogotenente Governatore deve essere un socio attivo, senior o privilegiato in regola in un Club della Divisione dalla quale è stato eletto.

Sezione 4 - Ciascun Officer di Distretto ha i seguenti doveri e responsabilità:

a) Promuovere gli scopi e le finalità del Kiwanis International; e

b) Promuovere gli interessi dei Club del Distretto.

Sezione 5 - Il Governatore ha i seguenti ulteriori doveri e responsabilità:

a) E' l'Officer principale dirigente del Distretto.

b) Sotto la direzione e supervisione del Consiglio di Amministrazione Internazionale promuove gli obiettivi del Kiwanis International e gli interessi dei Club del Distretto.

c) Presiede tutte le Convention e riunioni del Consiglio Direttivo del Distretto.

d) Partecipa alle Convention, alle Riunioni ed agli Incontri Consiliari del Kiwanis International.

e) E' membro di diritto di tutti i Comitati Speciali permanenti.

f) Svolge incarichi e responsabilità propri della sua carica o che possano essere modificati in futuro nella Costituzione, nello Statuto, nelle Policies e Procedures del Kiwanis International o nello Statuto del Distretto.

Sezione 6 - Il Governatore Eletto ha i seguenti ulteriori doveri e responsabilità:

a) Partecipare al training per Governatori Eletti.

b) E' responsabile del training degli Officer Designati del Distretto.

c) E' responsabile del training degli Officer e dei soci dei Club alla Convention del Distretto.

d) Svolge incarichi e responsabilità propri della sua carica o che possano essere modificati in futuro nella Costituzione, nello Statuto, nelle Policies e Procedures del Kiwanis International o nello Statuto del Distretto.

e) Svolge altri incarichi e responsabilità che gli vengono assegnate di volta in volta dal Consiglio Direttivo del Distretto.

Sezione 7 - L'Immediato Past Governatore svolge i compiti propri della sua carica o quelli che gli vengono assegnati dal Consiglio Direttivo del Distretto.

Sezione 8 - Il Segretario del Distretto ha i seguenti ulteriori compiti e responsabilità:

a) Conserva tutti gli atti del Distretto.

b) Assiste il Governatore ed il Consiglio Direttivo del Distretto nello svolgimento degli affari del Distretto.

c) E' il dirigente in carica dell'Ufficio distrettuale e dei suoi Dipartimenti e, sotto la direzione e il controllo del Consiglio Direttivo del Distretto, sceglie e controlla il personale e gli impiegati.

d) Invia ai funzionari, ai Comitati e alle persone destinatarie le comunicazioni ricevute dal Kiwanis International e collabora con il Governatore nell'invio delle relazioni richieste dal Kiwanis International.

e) Partecipa e compila i verbali delle riunioni del Consiglio Direttivo del Distretto e delle Convention del Distretto.

f) Partecipa alle Convention del Kiwanis International, e se invitato, partecipa alle riunioni del Consiglio Internazionale.

g) Conserva i conti e i documenti finanziari ed è responsabile per i dovuti controlli di procedura interna, comprese le ricevute, i depositi e i pagamenti del Distretto ed i fondi di organizzazioni sponsorizzate secondo le direttive indicate e autorizzate dal Consiglio Direttivo del Distretto.

h) Rende in qualsiasi momento possibile l'ispezione da parte del Governatore, del Consiglio Direttivo del Distretto, o di qualsiasi Revisore autorizzato, i conti e gli atti finanziari, e i libri del Distretto e delle organizzazioni sponsorizzate.

i) Presenta una relazione alla Convention annuale del Distretto ed altre relazioni richieste dal Governatore o dal Consiglio Direttivo del Distretto.

j) Esegue ogni altro compito proprio di questa funzione o che gli venga assegnato dal Governatore o dal Consiglio Direttivo del Distretto.

k) Dà garanzia per la fedele attuazione dei compiti del suo ufficio, secondo l'ammontare e con le garanzie che sono richieste dal Consiglio Direttivo.

Sezione 9 - Il Tesoriere del Distretto ha i seguenti ulteriori compiti e responsabilità:

a) E' membro del Comitato Finanziario.

b) Verifica e consiglia regolarmente il Consiglio Direttivo del Distretto sulle condizioni finanziarie del Distretto e delle sue organizzazioni sponsorizzate.

c) Presenta una relazione alla Convention annuale.

d) Svolge quegli altri compiti propri di questa funzione o quelli che gli possono essere assegnati dal Governatore o dal Consiglio Direttivo del Distretto.

e) Dà garanzia per la fedele attuazione dei compiti del suo ufficio, secondo l'ammontare e con le garanzie richieste dal Consiglio Direttivo del Distretto.

Sezione 10 - I Luogotenenti Governatori hanno i seguenti ulteriori doveri e responsabilità:

a) Assistono il Governatore nel lavoro del Distretto.

b) Rappresentano il Governatore e, sotto la direzione del Governatore stesso, controllano il lavoro esecutivo del Distretto nelle loro rispettive Divisioni.

c) Eseguono tutti gli altri compiti propri di questa funzione o che possano essere assegnati dal Governatore o dal Consiglio Direttivo del Distretto.
