ARTICLE
VI. BOARD OF TRUSTEES Section
1. The
District Board of Trustees shall consist of the Governor, Governor-elect,
Immediate Past Governor, Secretary, Treasurer, and Lieutenant Governors.
The District Secretary shall be a member of the District Board of Trustees,
but shall be without vote. Section
2. The
management and control of the affairs of the district not otherwise
provided for in these Bylaws shall be vested in the District Board of
Trustees, subjects to the supervision and control of the International
Board of Trustees. Section
3. The
District Board of Trustees shall hold at least two (2) meetings during
each year, one prior to October 31 at such time and place as designated by
the Governor, and another in connection with the district convention at
such place as shall be determined by the Board. If the first meeting is
held prior to October 1, any action taken shall become effective on
October 1. Section
4. A special
meeting of the District Board of Trustees may be called by the Governor or
two-thirds (2/3) of the members of the entire Board. Section
5. The
District Secretary shall notify each member of the District Board of
Trustees and the Executive Director in writing of the time, place, and
date of any meeting fifteen days prior to the date of such meeting. Section
6. In the
absence of the Governor (or Acting Governor) from a meeting, the District
Board of Trustees shall designate one of its members to act as chairman. Section
7. One-half
(1/2) of the total members of the District Board of Trustees shall
constitute a quorum, and a majority vote of those present shall decide any
question, with the exception of those questions for which a greater
proportion is specifically required in these Bylaws. Section
8. Within
thirty (30) days after any special or regular meeting of the District
Board of Trustees, the District Secretary shall make a written report, as
approved by the Governor, providing a synopsis of the actions taken and
transmit the report to the Executive Director. A copy of the report shall
either be sent to the secretary of each chartered club within the district
or be published in the next district bulletin.
ARTICLE
VII. COMMITTEES AND DEPARTMENTS
Section
1. The
titles, structure and duties of district standing committee shall be those
defined by the International Board of Trustees and set forth in
appropriate documents of Kiwanis International. Section
2. Each
standing committee and department shall at all times cooperate with the
appropriate Committee or Department of Kiwanis International and promote
programs suggested by the Committee or Department among the clubs of the
district. Section
3. Subject
to the approval of the District Board of Trustees, special committees may
be appointed by the Governor and shall perform such duties as may be
defined in their creation. Section
4. All
committee members shall be subject to removal by the Governor.
ARTICLE
VIII. CONVENTIONS
Section
1. The annual convention of the district shall be held at such place and
date, between March 15 and September 15, as shall be mutually agreed upon
by the District Board of Trustees and the International Board of Trustees,
except that no district convention shall be held within the period of
thirty (30) days prior to, during, or thirty (30) days following the
Convention of Kiwanis International. The place of the annual convention is
established two (2) years before by the annual convention according to the
suggestion of the Board of Trustees of the District. Section
2. An
invitation from any chartered club for holding an annual convention in its
city shall be delivered in writing to the District Secretary. Section
3. Special conventions of the district shall be called by the
Governor upon the request of a majority of the chartered clubs “in good
standing”, or upon the request of three-fourths (3/4) of the members of
the District Board of Trustees. Section
4. The
District Secretary shall mail to each chartered club and to the Executive
Director an official call to the annual convention at least sixty (60)
days prior to the date of the convention, and an official call for any
special convention at least thirty (30) days prior to the date of such
convention. The District Board of Trustees shall have full supervision and
management of all conventions. Section
5. For each
convention, the Governor shall appoint a Committee on Credentials and a
Committee on Elections, each to consist of at least three (3) members. All
members of the Committee on Elections shall be delegates or
delegates-at-large. Section
6. At any
convention, each chartered club “in good standing” in the district
shall be entitled to seat up to three (3) delegates. Two (2) of the
delegates should be the club president and president-designate. To assure
proper representation, each chartered club may choose up to three (3)
alternate delegates. Section
7. Official
delegates of a newly organized Kiwanis club shall be granted full
privileges at district conventions if the charter has been issued by
Kiwanis International, whether or not it has been formally presented to
such club. Section
8. The
delegates and their alternates shall be active, senior, or privileged
members in good standing of the chartered clubs they represent, and shall
be elected by such clubs not less than thirty (30) days prior to the date
of the annual convention or less than fifteen (15) days
prior to the date of any special convention. Their election shall
be evidenced by a certificate to the District Secretary duly authenticated
by the president and secretary of the club. Should any chartered club fail
to so certify the election of its delegates and alternates, then the
Committee on Credentials shall have the right to determinate the seating
of the delegates or alternates for such chartered club. Section
9. All
officers and Past Governors of the district who are active, senior, or
privileged members of a Kiwanis club of the district shall be
delegates-at-large to all district conventions. Section
10. Each
accredited delegate and delegate-at-large present shall be entitled to
vote on each question submitted to any convention. There shall be no
voting by proxy or absentee ballot. To be accredited, a delegate or
delegate-at-large must be certified according to the provision of these
Bylaws and must have paid a convention registration fee, if such is
required. Section
11. The
District Board of Trustees may establish uniform convention registration
fees to be paid by all persons attending any convention of the district.
The proceeds derived from such registration fee shall be expended solely
upon approval of the Board. Section
12. The
convention may propose, discuss, and adopt resolutions, and recommend
matters or concerns to Kiwanis International. The convention shall also
consider and act upon matters submitted to it by Kiwanis International. Section
13. In the
absence of the Governor (or Acting Governor) from any convention of the
district, the District Board of Trustees shall designate the
Governor-elect, Immediate Past Governor, or a Lieutenant Governor to act
as chairman. Section
14. A quorum
at any convention of the district shall comprise the official delegates
present, and must represent not less than one-third (1/3) of the total
number of clubs within the district. Section
15. Within
thirty (30) days after any convention, the District Secretary shall make a
written report, as approved by the Governor, providing a synopsis of the
actions taken and shall transmit the report to the Executive Director. A
copy of the report shall either be sent to the secretary of each chartered
club within the district or be published in the next district bulletin. Section
16. In the
event that in any year the District Board of Trustees shall determine by
resolution that there exists a condition of emergency in the
district that compels cancellation of the annual district
convention, the Board shall then establish procedures to transact any and
all business that would normally be transacted by and at such convention.
The preference will be to call a council meeting to be held during the
period provided for district conventions. Such council shall be comprised
of the Board and other persons having the status of delegates-at-large to
all district conventions. ARTICOLE
IX. CONVENTION PROCEDURE Section
1. The
official program, of a convention as approved by the District Board of
Trustees shall be the order of the day for all sessions. Changes in the
program may be made from time to time by a majority vote of the delegates
and delegates-at-large present and voting. Section
2. a.
Proposed resolutions may be submitted by majority vote of a club’s board
of directors to the District Secretary not less than sixty (60) days prior
to the date of the district convention. Proposed resolutions may also be
submitted by the District Board of Trustees or originated by the Committee
on Resolutions. b.
All proposed resolutions shall be referred to the Committee on Resolutions
for its consideration and recommendation to the convention. No resolutions
other than those so submitted to or originated by the Committee on
Resolutions shall be considered, unless consideration thereof shall be
recommended by two-thirds (2/3) vote of the District Board of Trustees.
Debate on such resolutions shall not be in order until they have been
reported out by the Committee on Resolutions or the Board. Section 3. Reports of committees, resolutions, and all motions, except those that are “undebatable”, may be debated upon the floor of the convention unless, by a two-thirds (2/3) vote, the house of delegates decides to dispose of them without debate.

ARTICOLO VI – CONSIGLIO
DIRETTIVO
Sezione 1 - Il Consiglio Direttivo del Distretto è composto dal Governatore, dal Governatore Eletto, dall’Immediato Past Governatore, dal Segretario, dal Tesoriere e dai Luogotenenti Governatori. Il Segretario del Distretto è membro del Consiglio Direttivo del Distretto, ma non ha diritto di voto. Sezione 2 - La direzione ed il controllo degli affari del Distretto non altrimenti previsti in questo Statuto saranno di pertinenza del Consiglio Direttivo del Distretto soggetti alla supervisione ed al controllo del Consiglio di Amministrazione Internazionale. Sezione 3 - Il Consiglio Direttivo del Distretto tiene almeno due (2) riunioni all'anno, una prima del 31 ottobre nel luogo e tempo stabilito dal Governatore, ed un'altra in concomitanza con la Convention distrettuale nel tempo e nel luogo stabilito dal Consiglio. Se la prima riunione viene fissata prima del 1° ottobre le decisioni prese diventeranno esecutive il 1° ottobre. Sezione 4 - Una riunione straordinaria del Consiglio Direttivo del Distretto può essere convocata dal Governatore o su richiesta dei due terzi (2/3) dei membri dell'intero Consiglio. Sezione 5 - Il Segretario del Distretto informa per iscritto ogni membro del Consiglio Direttivo del Distretto ed il Direttore Generale (Executive Director del K.I) sul tempo, luogo e data di qualsiasi riunione con almeno quindici (15) giorni di anticipo sulla data della riunione. Sezione 6 - In assenza del Governatore (o del Governatore facente funzione) ad una riunione, il Consiglio Direttivo del Distretto designa uno dei suoi membri come Presidente (Chairman). Sezione 7 - Metà (1/2) del numero totale dei Consiglieri del Direttivo distrettuale costituisce il quorum, ed il voto a maggioranza di quelli presenti decide su qualsiasi questione, con l'eccezione di quei casi in cui è richiesta specificatamente in questo Statuto una proporzione maggiore. Sezione 8 - Entro trenta (30) giorni dalla riunione regolare o straordinaria del Consiglio Direttivo del Distretto, il Segretario distrettuale invia un rapporto scritto, approvato dal Governatore, in cui fornisce una sintesi delle delibere prese e trasmette la relazione al Direttore Generale (Executive Director del K.I). Una copia della relazione viene inviata o al Segretario di ciascun Club munito di Charter del Distretto o pubblicata sul prossimo bollettino del Distretto.
ARTICOLO VII – COMITATI E
DIPARTIMENTI
Sezione 1 - La denominazione, la struttura ed i compiti dei Comitati permanenti del Distretto sono quelli definiti dal Consiglio di Amministrazione Internazionale e stabiliti nei relativi documenti del Kiwanis International. Sezione 2 - Ogni Comitato permanente ed ogni Dipartimento deve sempre collaborare con il corrispondente Comitato e Dipartimento del Kiwanis International e promuovere i programmi proposti da tale Comitato o Dipartimento fra i Club del Distretto. Sezione 3 - Comitati speciali possono essere costituiti dal Governatore, con l'approvazione da parte del Consiglio Direttivo del Distretto, per svolgere i compiti stabiliti all'atto della loro formazione. Sezione 4 - Tutti i componenti dei Comitati sono soggetti a revoca da parte del Governatore. ARTICOLO
VIII - CONVENTION
Sezione 1 – La Convention annuale del Distretto deve essere convocata, nel luogo e in una data fra il 15 marzo ed il 15 settembre, come convenuto fra il Consiglio Direttivo del Distretto ed il Consiglio di Amministrazione Internazionale, unica eccezione quella che vieta di tenere tale Convention durante lo svolgimento della Convention del Kiwanis International, e nei trenta (30) giorni che la precedono o la seguono. Il luogo della Convention annuale è stabilito con due (2) anni di anticipo dalla Convention annuale su proposta del Consiglio Direttivo del Distretto. Sezione 2 - L'invito da parte di un Club, munito di Charter, a tenere la Convention annuale nella propria città deve essere trasmesso per iscritto al Segretario del Distretto. Sezione 3 - Convention straordinarie del Distretto possono essere convocate dal Governatore su richiesta della maggioranza dei Club muniti di Charter ed "in good standing", oppure su richiesta di tre quarti (3/4) dei membri del Consiglio Direttivo del Distretto. Sezione 4 - Il Segretario del Distretto deve inviare la convocazione ufficiale a ciascun Club munito di Charter e al Direttore Generale (Executive Director del K.I.) almeno sessanta (60) giorni prima della data della Convention; nel caso di una Convention straordinaria almeno trenta (30) prima. Il Consiglio Direttivo del Distretto ha la piena supervisione e la direzione di tutte le Convention. Sezione 5 - Per ogni Convention, il Governatore nomina una Commissione per la verifica dei poteri e una Commissione per le votazioni formata da almeno tre (3) soci. Tutti i membri della Commissione per le votazioni devono essere delegati o delegati di diritto. Sezione 6 - Ogni Club munito di Charter e "in good standing" (in regola) ha il diritto di essere rappresentato in ogni Convention da tre (3) Delegati. Due (2) dei Delegati dovrebbero essere il Presidente ed il Presidente Designato. Per assicurare la propria rappresentanza, ogni Club munito di Charter può nominare fino a tre (3) Delegati supplenti. Sezione 7 - Ai Delegati ufficiali di un Kiwanis Club di nuova formazione sono accordati tutti i diritti di partecipazione alle Convention dopo che la sua costituzione è stata approvata dal Kiwanis International, anche se la "Charter" non sia stata ancora ufficialmente consegnata. Sezione 8 - I Delegati ed i loro supplenti devono essere soci attivi, senior o privilegiati "in good standing" dei Club muniti di Charter da loro rappresentati, e devono essere eletti non meno di trenta (30) giorni prima della data della Convention annuale oppure quindici (15) giorni prima di qualunque Convention straordinaria. La loro elezione deve essere certificata da un attestato debitamente autenticato dal Presidente e dal Segretario del Club da inviare al Segretario del Distretto. Se un Club munito di Charter non dovesse certificare l'elezione dei suoi Delegati o dei suoi supplenti, la Commissione per la verifica dei poteri ha il diritto di determinare l'ammissione dei Delegati o dei supplenti di tale Club. Sezione 9 - Tutti gli Officer ed i Past Governatori del Distretto che sono soci attivi, senior o privilegiati di un Club Kiwanis del Distretto sono Delegati di diritto a tutte le Convention del Distretto. Sezione 10 - Ogni Delegato effettivo ed ogni Delegato di diritto presenti, ha diritto di voto su ciascun argomento presentato in Convention. Non è permesso il voto per procura o la delega di un assente. Per essere accreditato, un Delegato o Delegato di diritto deve essere convalidato secondo quanto stabilito in questo Statuto e deve aver pagato la quota di registrazione alla Convention nel caso che venga richiesta. Sezione 11 - Il Consiglio Direttivo del Distretto può stabilire una cifra unica di iscrizione alla Convention per tutti i partecipanti ala Convention del Distretto. Il ricavato di detta registrazione deve essere utilizzato soltanto dietro approvazione del Consiglio Direttivo. Sezione 12 – La Convention può proporre, discutere e adottare deliberazioni, nonché proporre e suggerire questioni che sono di interesse del Kiwanis International. La Convention prende anche in considerazione e delibera su argomenti presentati alla Convention dal Kiwanis International. Sezione 13 - In assenza del Governatore o del Governatore facente funzione alla Convention del Distretto, il Consiglio Direttivo del Distretto nomina al loro posto il Governatore Eletto, l'Immediato Past Governatore od un Luogotenente Governatore alla funzione di Presidente della Convention. Sezione 14 - Il quorum della Convention del Distretto comprende i Delegati ufficiali presenti, e deve rappresentare non meno di un terzo (1/3) del numero totale dei Club del Distretto. Sezione 15 - Il Segretario del Distretto è tenuto a fare, entro trenta (30) giorni dalla Convention annuale, il verbale scritto, debitamente approvato dal Governatore, e redigere un sommario delle delibere da trasmettere al Direttore Generale (Executive Director del K.I.). Una copia di tale relazione viene inviata al Segretario di ciascun Club del Distretto oppure deve essere pubblicata sul prossimo bollettino del Distretto. Sezione 16 - Nel caso in cui in un anno qualsiasi il Consiglio Direttivo del Distretto deliberi l'esistenza di una condizione eccezionale nel Distretto che determina la cancellazione della Convention annuale, il Consiglio dovrà stabilire le procedure necessarie per la trattazione e lo svolgimento degli affari come di norma vengono svolti in una Convention. Di preferenza si può indire la riunione del Consiglio da tenersi nel periodo previsto per le Convention del Distretto. Il Consiglio sarà composto dagli Officer e da altre persone che abbiano lo status di Delegati di diritto a tutte le Convention Distrettuali. ARTICOLO
IX - PROCEDURE DELLE CONVENTION
Sezione 1 - Il programma ufficiale della Convention approvato dal Consiglio Direttivo del Distretto costituisce l'ordine del giorno per tutte le sessioni. Cambiamenti nel programma possono essere fatti di volta in volta con il voto maggioritario dei Delegati e dei Delegati di diritto presenti e votanti. Sezione 2 - a) Le delibere proposte possono essere presentate da un voto maggioritario del Consiglio Direttivo di un Club al Segretario del Distretto con non meno di sessanta (60) giorni prima della data della Convention distrettuale. Le delibere proposte possono essere presentate anche dal Consiglio Direttivo del Distretto o avere origine dal Comitato delle delibere. b) Tutte le delibere proposte vengono trasmesse al Comitato per le delibere per la presa in considerazione e segnalazione alla Convention. Nessuna delibera, tranne quelle trasmesse in tal modo o che siano del Comitato per le delibere, saranno prese in considerazione a meno che la presa in considerazione non venga raccomandata da due terzi (2/3) dei voti del Consiglio Direttivo del Distretto. La discussione su tali delibere non sarà messa all'ordine del giorno fino a quando non saranno trasmesse dal Comitato delle delibere o dal Consiglio Direttivo. Sezione 3 - Le relazioni dei Comitato, le delibere, e tutte le mozioni, tranne quelle che non ammesse al dibattito, possono essere discusse nel corso della Convention a meno che i Delegati con due terzi (2/3) dei voti decidano di prenderle in considerazione senza dibattito.
