ARTICLE XIV. REVENUE

Section 1. Each member club shall pay to the district for each of its members, with the exception of its honorary members, the sum of 100 Euro per annum as dues. The total amount shall be due in semiannual installments of one-half (1/2) thereof each on October 1 and April 1 of each year, payable not later than sixty (60) days thereafter, and is to be based upon the membership of the respective clubs as shown by the semiannual reports to Kiwanis International as of September 30 and March 31, respectively. The total amount shall include all district charges other than the new member add fee and registration fees for district conventions or conferences.

Section 2. New member add fees, as established by the house of delegates, shall be paid to the district in the amount established by the District Board of Trustees.

Section 3. Registration fees for district conventions and conferences, as established by the District Board of Trustees, shall also be paid to the district.

Section 4. The dues to be paid to the district by any new club admitted to membership during any fiscal year shall be prorated according to the unexpired portion of the fiscal year in which said club was completed.

Section 5. No financial obligation other than the revenues provided in this Article shall be placed upon the clubs by the district, except:

a. By a two-thirds (2/3) vote of the delegates at a convention; or

b. By a two-thirds (2/3) vote upon a referendum submitted to all clubs of the district; and with the approval of the International Board of Trustees.

ARTICLE XV. FINANCE

Section 1. The fiscal year of the district shall begin on October 1 and terminate on the following September 30.

Section 2. Not later than October 15, the District Board of Trustees shall approve a budget of estimated revenues and expenses, including capital expenditures, for the year.

Section 3. The books of account of the district shall be audited at least once each administrative year by an independent auditing firm selected by the District Board of Trustees. A copy of the audit report shall be sent to the Executive Director by March 31 and to members of the current District Board of Trustees.

Section 4. The audit must be certified; need not be certified.

Section 5. The District Board of Trustees shall determine the official depository or depositories and shall designate those persons who shall sign checks.

Section 6. The necessary traveling expenses of all district officers when engaged in the business of the district may be paid by the district in accordance with the provisions of the budget.

Section 7. The necessary expenses of the Governor incurred in attending the Convention, Council, and any conference of Kiwanis International may be paid by the district.

ARTICLE XVI. NATIONAL OR LOCAL REQUIREMENTS

Section 1. The District Italy of Kiwanis International is a non profit organization and therefore doe not give any dividend or remaining cash funds not even indirectly among its members. The rules of this Bylaws cannot be in contrast with the current laws of the Italian Republic.

ARTICLE XVII. OTHER AUTHORITIES

Section 1. For authority on all matters not specifically covered by these Bylaws, the following documents, current or as amended in the future, shall be consulted in order of priority to determine such matters:

Second--Kiwanis International Policies and Procedures

ARTICLE XVIII. PARLIAMENTARY AUTHORITY

Section 1. “Robert’s Rules of Order Newly Revised” shall be the parliamentary authority for all matters of substance or procedure not specifically covered in these Bylaws.

ARTICLE XIX. AMENDMENTS

Section 1. Amendments to these Bylaws, if in conformity with the constitution and Bylaws of Kiwanis International, may be adopted by a two-thirds (2/3) vote of the delegates and delegates-at-large voting at any convention. Proposed amendments, which shall be submitted only by a club in good standing or by the District Board of Trustees, shall be received by the District Secretary at least sixty (60) days prior to the date of the convention. The Secretary shall send a copy of all proposed amendments to the secretary of each chartered club not less than thirty (30) days prior to the date of the convention.

Section 2. Il these bylaws are in conflict with the Kiwanis International Constitution and Bylaws, current or as amended in the future, this district shall amend these Bylaws to bring them into conformity with the Kiwanis International Constitution and Bylaws.

ARTICLE XX. SEVERABILITY

Section 1. In the event that any provisions of these Bylaws is held invalid, all other provisions shall remain in effect.

ARTICLE XXI. APPROVAL OF KIWANIS INTERNATIONAL

Section 1. These Bylaws and all amendments or additions, including any districting, redistricting, or grouping of clubs, shall not be effective unless approved by the International Board of Trustees.

NOTE-Two (2) copies of these bylaws or any amendments shall be forwarded to the Executive Director and one copy will be returned to the district with the noted approval.

ARTICOLO XIV – ENTRATE

Sezione 1 - Ciascun Club deve pagare al Distretto per ciascuno dei suoi soci con l'eccezione dei soci onorari, la somma di 100 Euro per anno per le quote sociali. Il totale deve essere inviato in due (2) rate semestrali di cui una il 1° ottobre e l'altra il 1° aprile di ciascun anno, pagabili non oltre sessanta (60) giorni dopo tali date e si basa sul numero dei soci dei rispettivi Club come risulta dal rapporto semestrale al K.I. alla data rispettivamente del 30 settembre e del 31 marzo. Il totale include tutti i costi del Distretto tranne quelli che si riferiscono ai nuovi soci e alla tassa di iscrizione alle Convention e riunioni e del Distretto.

Sezione 2 - Le quote di iscrizione dei nuovi soci, come stabilito dall'Assemblea dei Delegati, vengono pagate al Distretto nell'ammontare determinato dal Consiglio Direttivo del Distretto.

Sezione 3 - Anche le quote per l'iscrizione ai convegni e alle riunioni del Distretto, fissate dal Consiglio Direttivo del Distretto, devono essere pagate al Distretto.

Sezione 4 - Le quote che devono essere pagate al Distretto da un nuovo Club durante l'anno fiscale saranno ripartite in proporzione alla porzione dell'anno fiscale in cui il Club è stato istituito.

Sezione 5 - Nessun altro obbligo finanziario tranne quelli previsti in questo articolo saranno imposte ai Club del Distretto, tranne – previa approvazione del Consiglio di Amministrazione Internazionale – che:

a) con il voto di due terzi (2/3) dei Delegati ad una Convention annuale;

b) con il voto di due terzi (2/3) in un referendum sottoposto a tutti i Club del Distretto.

ARTICOLO XV - FINANZA

Sezione 1 - L'anno amministrativo del Distretto inizia il 1° ottobre e termina il 30 settembre dell'anno successivo.

Sezione 2 - Il Consiglio Direttivo del Distretto approva, non oltre il 15 ottobre, il bilancio preventivo delle entrate e delle spese comprese le spese in conto capitale per l'anno.

Sezione 3 - I libri contabili del Distretto devono essere verificati almeno una volta all'anno da uno Studio di revisione contabile indipendente scelto dal Consiglio Direttivo del Distretto. Una copia della relazione deve essere inviata al Direttore Generale (Executive Director del K.I.) entro il 31 marzo e ai membri del Consiglio Direttivo del Distretto.

Sezione 4 - La revisione dei conti a scelta può essere certificata o non ha bisogno di essere certificata.

Sezione 5 - Il Consiglio Direttivo del Distretto stabilisce gli istituti di credito incaricati o i depositari ufficiali e nomina le persone che possono firmare gli assegni.

Sezione 6 - Le spese necessarie per i viaggi di tutti gli Officer del Distretto per l'espletamento degli affari del Distretto possono essere pagate dal Distretto secondo quanto iscritto nel bilancio preventivo.

Sezione 7 - Le spese necessarie del Governatore per la partecipazione alla Convention, al Consiglio e alle riunioni del Kiwanis International possono essere pagate dal Distretto.

ARTICOLO XVI - OBBLIGHI E NORME NAZIONALI

Sezione 1 – Il Kiwanis International Distretto Italia non ha fini di lucro e non ripartisce neanche in via indiretta utili o avanzi di gestione nonché fondi tra i soci. Le norme del presente Statuto non potranno essere in contrasto con le leggi vigenti nella Repubblica Italiana.

ARTICOLO XVII - ALTRE NORME

Sezione 1 - Per tutte le questioni non specificatamente previste in questo Statuto, per la trattazione delle stesse, si dovranno consultare in ordine di priorità i seguenti documenti, attuali o come verranno emendati in futuro:

Primo - Costituzione e Statuto del Kiwanis International

Secondo - Policies and Procedures del Kiwanis International

ARTICOLO XVIII – NORME DI CONSULTAZIONE

Sezione 1 - Per tutte le questioni importanti o di procedura che non sono specificatamente previste in questo Statuto il testo consultivo è: “Robert's Rules of Order Newly Revised”.

ARTICOLO XIX - MODIFICHE

Sezione 1 - Il presente Statuto può essere modificato solo se in conformità con la Costituzione e lo Statuto del Kiwanis International con il voto di due terzi (2/3) dei Delegati e dei Delegati di Diritto che votano in una Convention. Le modifiche proposte, che possono essere presentate soltanto dai Club “in good standing” o dal Consiglio Direttivo del Distretto devono pervenire al Segretario del Distretto almeno sessanta (60) giorni prima della data della Convention. Il Segretario invia una copia delle proposte ai Segretari di ciascun Club muniti di Charter non meno di trenta (30) giorni prima della data della Convention.

Sezione 2 - Se questo Statuto entra in conflitto con la Costituzione e lo Statuto del Kiwanis International, attuali o modificati successivamente, il Distretto dovrà modificare lo Statuto in conformità con la Costituzione e lo Statuto del Kiwanis International.

ARTICOLO XX – INVALIDITÀ

Sezione 1 - Nel caso in cui qualsiasi disposizione di questo Statuto venga ritenuta non valida, tutte le altre disposizioni rimarranno in vigore.

ARTICOLO XXI - APPROVAZIONE DEL KIWANIS INTERNATIONAL

Sezione 1 - Questo Statuto e tutte le modifiche o aggiunte, compresa la suddivisione delle Divisioni, la suddivisione o il raggruppamento di Club non sarà ritenuta effettiva senza l'approvazione del Consiglio di Amministrazione Internazionale.

Nota - Due (2) copie di questo Statuto o di qualsiasi emendamento dovranno essere inviate al Direttore Generale (Executive Director del K.I.); una di queste copie sarà restituita al Distretto con il visto di approvazione.
