ARTICLE X. NOMINATION AND ELECTION OF OFFICERS

Section 1. Officers Other than Lieutenant Governors

a. The election of officers, except the Lieutenant Governors, shall be held at the annual convention.

b. The district Secretary is appointed by the Governor-designate with the approval of the Board of Trustees designate.

c. The official program of the annual convention shall indicate the time and  place of the election of officers.

d. The nominating and election procedure for officers to be elected at the annual convention shall be as follows:

            (1) The Governor-elect shall be the sole candidate for the office of Governor.

(2) All candidates for the offices of Governor and Governor-elect and Treasurer must submit written notice of candidacy to the District Secretary no later than the beginning of the first business session of the annual convention. At that session, the Secretary shall make a report of the candidates giving such notice.

(3) A majority of all valid votes cast for each position shall be necessary for the election of the Governor, Governor-elect and Treasurer. In the event that any ballot cast for Governor or Governor-elect or Treasurer does not show a majority for any nominee for the foregoing offices, the Governor shall designate a time and a place for further balloting for such office. Prior to the second ballot, the nominee having the lowest vote on the first ballot shall be dropped; and on each succeeding ballot, the same procedure shall be followed until a nominee shall have received a majority of all valid votes cast.

e. The voting shall be by ballot only where there are two (2) or more candidates for the same office. Only accredited delegates or delegates-at-large shall be allowed to vote. There shall be no voting by proxy or absentee ballot.

f. Nothing in this Article shall be construed as limiting the right to make further nominations from the floor of the convention.

g. Cumulative voting shall not be permitted.

h. The election by acclamation is not permitted.

Section 2. Committee on Elections

a. Before the election, the District Secretary shall make available to the Committee on Elections a list of the delegates and delegates-at-large as shown by the report of the Committee on Credentials.

b. The Committee of Elections shall have general charge of the election and of distributing and counting the ballots.

c. The Committee on Elections shall report promptly to the convention the results of the balloting and the report shall be signed by a majority of the committee.

Section 3. Election of Lieutenant Governor and Governor-elect

a. The Lieutenant Governor of each division shall hold, not later than the second week in April, a conference for the purpose of electing a Lieutenant Governor and a Lieutenant Governor-elect. The time and place of this conference shall be designated by the Lieutenant Governor. Written notice shall be sent, not later than ten (10) days prior to the conference, to the president of each club in the division, and to all Past Governors and Past Lieutenant Governors of that division who are active, senior, or privileged members of a club in the division.

b. The personnel of the conference shall be the president and immediate past president of each club in the division, or their duly elected alternates, the Lieutenant Governor of the division, and all Past Governors and Past Lieutenant Governors of that division who are still active, senior, or privileged members of a club in the division.

c. The representatives present, representing not less than two-thirds (2/3) of the clubs of the division, shall constitute a quorum at the conference, and each club shall have one (1) vote for each representative present. The Lieutenant Governor and the Past Governors and Past Lieutenant Governors in attendance at the conference shall have the privilege of the floor without the right to vote, except in the event of a tie vote, in which case the Lieutenant Governor shall be entitled to vote.

d. The Immediate Past Lieutenant Governor shall be chairman of the conference or, if absent, the immediate predecessor, and so on. In the absence of a Past Lieutenant Governor, the conference shall elect one of its members as chairman. The conference shall elect one of its member as secretary, and such tellers as may be necessary.

e. Upon completion of organization as above outlined, the conference shall proceed to elect a Lieutenant Governor and a Lieutenant Governor-elect. The Lieutenant Governor-elect shall be the sole candidate for the office of Lieutenant Governor. However, nothing shall preclude additional nominations from the floor.  A majority of all valid votes cast for each office shall be necessary for elections. In the event that no candidate receives a majority of valid votes cast, a new election shall take place immediately, and the person receiving the fewest number of votes shall be eliminated. This procedure shall be followed until one (1) person receives a majority vote. No person shall be submitted to the conference as a candidate for Lieutenant Governor or Lieutenant Governor-elect without the consent of said person first being obtained. Each candidate for Lieutenant Governor shall give assurances of a willingness and ability to carry out the duties and responsibilities for the office of Lieutenant Governor, to attend the leadership education conferences, and to officially visit the clubs of the division.

f. A Lieutenant Governor-elect is not a district officer.

g. The division conference shall be guided by the principles, traditions, and precedents of Kiwanis International in its election of officers, and particularly consider the ability, service, and experience in Kiwanis of a proposed candidate.

h. The Lieutenant Governor shall certify the results of the election to the District Secretary and Kiwanis International immediately following the conference.  

ARTICLE XI. VACANCIES IN OFFICE

Section 1. In the events of a vacancy in the office of Governor, during an administrative year, by a two-thirds (2/3) vote of the entire District Board of Trustees, the Board shall elect a Past Governor, Lieutenant Governor, or Past Lieutenant Governor who is an active, senior, or privileged member of a Kiwanis club in the district to become Governor for the unexpired term.

Section 2. In the event of a vacancy in the office of Governor-elect during an administrative year, the vacancy for the unexpired term shall be filled by the District Board of Trustees, by a two-thirds (2/3) vote of the entire District Board, from the Lieutenant Governors or Past Lieutenant Governors who are active, senior, or privileged members of Kiwanis clubs in the district.

Section 3. In the event of a vacancy in the office of Secretary or Treasurer during an administrative year, the Governor shall appoint a qualified member of a chartered club of the district to fill that office for the unexpired term. This appointment shall be subject to the approval of the District Board of Trustees at its next meeting.

Section 4. In the event of a vacancy  in the office of Lieutenant Governor during an administrative year, the Governor shall notify the presidents of the affected division that a replacement Lieutenant Governor may be elected by a conference of the division within thirty (30) days from the date of such vacancy. In the absence of a replacement being elected by a division conference, the Governor shall appoint a qualified member of a chartered club in the same division to fill the office for the unexpired term, which appointment shall be subject to the approval of the District Board of Trustees at its next meeting.

Section 5. In the event after election and before October 1 of disability or inability of the district officer to serve for the year for which elected, the District Board of Trustees-designate for said year shall proceed forthwith to appoint or elect the successor in the manner provided for filling vacancies in office during the administrative year. The Governor-designate shall give reasonable notice of the time and place of such election and, if absent or disabled, the Governor of the district shall act.

Section 6. In the event that the Governor is temporarily incapacitated and is unable to discharge the duties of the office, the District Board of Trustees shall elect, by a two-thirds (2/3) vote of the entire District Board, a Past Governor, Lieutenant Governor, or Past Lieutenant Governor who is an active, senior, or privileged member of a Kiwanis club in the district to become Acting Governor until the Governor is able to resume the duties of the office. While the Governor is incapacitated, the Acting Governor shall be the executive officer of the district and shall have all the duties, responsibilities, and authority given to the Governor by these Bylaws and the Constitution and Bylaws of Kiwanis International. If, after a period of sixty (60) days, it appears to the Board that the Governor continues to be incapacitated and is not able to resume the duties and responsibilities of office, the Board may declare the office of Governor vacant and the vacancy shall be filled in accordance with the provisions for filling vacancies in such office as contained in these Bylaws.

ARTICLE XII. REMOVAL OF OFFICERS  

Section 1. Whenever it shall appear to the Governor or a majority of the District Board of Trustees that an officer may be engaging in conduct unbecoming a Kiwanian or is failing to perform the duties of that office, the District Board shall give written notice of the alleged facts to the officer within thirty (30) days. A special meeting of the Board to consider the alleged facts shall be held within thirty-five (35) days thereafter, with at least twenty-one (21) clear days written notice being given to all members of the Board of such meeting. Service of such notice shall be deemed effective five (5) days after such notice is mailed. In the event that the Board, by two-thirds (2/3) vote of the entire Board, finds the officer has engaged in conduct unbecoming a Kiwanian or is not performing the duties of such office an declares such office vacant, a new officer to fill such vacancy shall be elected or appointed forthwith as provided in these bylaws.

ARTICLE XIII. PUBLIC ACTIVITIES

Section 1. The district may, from time to time, express by proper means its attitude on questions of public importance and any proposed legislation affecting communities within the territory of the district, provided that no Kiwanis clubs outside the district are affected by the same.

Section 2. When Kiwanis clubs outside the district are affected by any such public question or proposed legislation, before expressing an opinion, the district shall refer the matter, with its recommendation, to the International Board of Trustees. Upon approval of the recommendation by the International Board, the district may publicly express its opinion through legal and proper means.

Section 3. The district shall not be used in any way for political purposes, nor shall it as a district actively participate in the political candidacy of any person.

ARTICOLO X - CANDIDATURA ED ELEZIONE DEI DIRIGENTI (OFFICER)

Sezione 1 - Dirigenti ad eccezione dei Luogotenenti Governatori

a) L'elezione dei dirigenti tranne i Luogotenenti Governatori viene tenuta nella Convention annuale.

b) Il Segretario del Distretto è nominato dal Governatore designato con l'approvazione del Consiglio Direttivo designato del Distretto.

c) Il programma ufficiale della Convention annuale deve indicare l'ora e il luogo dell'elezione dei Dirigenti.

d) La candidatura e le procedure per l'elezione dei dirigenti da eleggere alla Convention annuale sono le seguenti:

1) Il Governatore Eletto sarà il solo candidato per la carica di Governatore.

2) Tutti i candidati alla carica di Governatore, di Governatore Eletto e di Tesoriere devono inviare per iscritto la candidatura al Segretario del Distretto non più tardi dell'inizio della prima sessione di lavoro della Convention Annuale. In quella sessione, il Segretario farà una relazione sui candidati dando tale comunicazione.

3) Si richiede la maggioranza di tutti i voti validi per ciascuna carica per l'elezione del Governatore e del Governatore Eletto e del Tesoriere. Nel caso in cui la votazione per il Governatore o per il Governatore Eletto o per il Tesoriere non dovesse fornire la maggioranza per un candidato, il Governatore deve stabilire l'ora e il luogo per una ulteriore votazione. Prima della seconda votazione il candidato che ha ottenuto il voto più basso al primo scrutinio verrà escluso; nelle votazioni successive verrà seguita la stessa procedura fino a quando un candidato avrà ricevuto la maggioranza dei voti validi.

e) Il voto si farà per schede solo quando vi sono due (2) o più candidati per la stessa carica. Soltanto i Delegati accreditati o i Delegati di diritto saranno ammessi al voto. Non è ammesso il voto per delega o il voto degli assenti.

f) Questo articolo non limita il diritto di avanzare ulteriori candidature nel corso della Convention.

g) Non è permesso il voto cumulativo.

h) Non è ammessa l’elezione per acclamazione.

Sezione 2 – Comitato per le elezioni

a) Prima delle elezioni il Segretario del Distretto deve mettere a disposizione del Comitato per le elezioni una lista dei Delegati e dei Delegati di diritto come risulta dalla relazione della Commissione verifica poteri.

b) Il Comitato per le elezioni ha l'incarico generale delle elezioni e della distribuzione e della conta dei voti.

c) Il Comitato per le elezioni deve riferire prontamente alla Convention i risultati della votazione e la relazione deve essere firmata dalla maggioranza del Comitato.

Sezione 3 – Elezione del Luogotenente Governatore e del Luogotenente Governatore Eletto

a) Il Luogotenente Governatore di ciascuna Divisione tiene, non oltre la seconda settimana di aprile, una riunione allo scopo di eleggere un Luogotenente Governatore e un Luogotenente Governatore Eletto. Il luogo e la data della riunione viene stabilita dal Luogotenente Governatore. La comunicazione scritta viene inviata non oltre dieci (10) giorni prima della riunione, ai Presidenti di ciascun Club della Divisione, e a tutti i Past Governatori e Past Luogotenenti Governatori della Divisione che risultano soci attivi, anziani o privilegiati di un Club della Divisione.

b) I componenti della riunione sono il Presidente e l'Immediato Past Presidente di ciascun Club della Divisione oppure i loro supplenti regolarmente eletti, il Luogotenente Governatore della Divisione, e tutti i Past Governatori e Past Luogotenenti Governatori di quella Divisione che risultano ancora soci attivi, anziani o privilegiati di un Club della Divisione.

c) I rappresentanti dei Club presenti, che rappresentino non meno di due terzi (2/3) dei Club della Divisione, costituiscono il quorum della riunione, e ciascun Club avrà un voto per ciascun rappresentante presente. Il Luogotenente Governatore e i Past Governatori ed i Past Luogotenenti Governatori presenti alla riunione hanno il diritto di rappresentanza senza diritto di voto, tranne nel caso di un voto di parità, nel qual caso il Luogotenente Governatore avrà diritto al voto.

d) L'Immediato Past Luogotenente Governatore è il Presidente della riunione o, in caso di sua assenza, il suo immediato predecessore e così di seguito. In assenza di un Past Luogotenente Governatore la riunione elegge uno dei suoi componenti quale Presidente. I componenti della riunione eleggono fra di loro un Segretario, e tanti scrutatori quanti ne servono.

e) Una volta completata l'organizzazione come sopra stabilito, la riunione procede alla elezione di un Luogotenente Governatore e di un Luogotenente Governatore Eletto. Il Luogotenente Governatore Eletto sarà l'unico candidato alla carica di Luogotenente Governatore. Tuttavia non sono precluse candidature aggiuntive da parte dei presenti. Per ogni elezione viene richiesta la maggioranza dei voti per ciascuna carica. Nel caso in cui nessun candidato ottiene la maggioranza dei voti validi, deve aver luogo immediatamente una nuova elezione, e la persona che riceve il numero minore di voti verrà eliminata. Questa procedura viene seguita fino a quando un (1) candidato riceva la maggioranza dei voti. Nessun può essere presentato alla riunione quale candidato per Luogotenente Governatore o per Luogotenente Governatore Eletto senza che si abbia il suo preventivo consenso. Ciascun candidato alla carica di Luogotenente Governatore deve assicurare la sua ferma volontà e capacità di assumere le responsabilità e svolgere i doveri connessi con la carica di Luogotenente Governatore, di partecipare alle riunioni di training, e di visitare in forma ufficiale i Club della Divisione.

f) Il Luogotenente Governatore Eletto non è un Officer del Distretto.

g) Le riunioni delle Divisioni devono essere improntate ai principi, alle tradizioni ed alle consuetudini del Kiwanis International nell'elezione dei suoi Dirigenti, e considerare in modo particolare l'abilità, l'attività e l'esperienza nel Kiwanis del candidato proposto.

h) Il Luogotenente Governatore deve certificare i risultati dell'elezione al Segretario del Distretto e al Kiwanis International subito dopo la riunione.

ARTICOLO XI - VACANZA NELLE CARICHE  

Sezione 1 - Nel caso si verifichi una vacanza nella carica di Governatore durante l'anno amministrativo, il Consiglio, con il voto dei due terzi (2/3) dell'intero Consiglio Direttivo del Distretto, elegge un Past Governatore, o un Luogotenente Governatore o un Past Luogotenente Governatore, che sia un socio attivo anziano o privilegiato di un Club del Distretto, alla carica di Governatore per il termine rimanente di detta carica.

Sezione 2 - Nel caso di una vacanza nella carica di Governatore Eletto durante l'anno amministrativo, il Consiglio Direttivo del Distretto provvederà alla sua sostituzione fra i Luogotenenti Governatori e i Past Luogotenenti Governatori che siano soci attivi, anziani o privilegiati di un Club del Distretto con il voto di due terzi (2/3) dell'intero Consiglio Distrettuale.

Sezione 3 - Nel caso di una vacanza nella carica di Segretario o di Tesoriere durante un anno amministrativo, il Governatore nominerà a tale carica un socio qualificato di un Club del Distretto munito di Charter per il periodo rimanente dell'anno sociale. Tale nomina è soggetta all'approvazione del Consiglio Direttivo del Distretto alla prima riunione.

Sezione 4 - Nel caso di una vacanza nella carica di Luogotenente Governatore durante un anno amministrativo, il Governatore deve informare i Presidenti della Divisione interessata che la sostituzione del Luogotenente Governatore può essere fatta mediante una riunione della Divisione entro trenta (30) giorni dalla data di tale vacanza. Nel caso in cui non venisse rimpiazzato con una elezione nel corso di una riunione della Divisione, il Governatore può nominare un socio qualificato di un Club munito di Charter della stessa Divisione per occupare la carica per il periodo rimanente dell'anno sociale. Tale nomina è soggetta all'approvazione del Consiglio Direttivo del Distretto nella prima riunione successiva.

Sezione 5 - Nel caso in cui un Officer del Distretto dopo la sua elezione e prima del 1° ottobre sia impossibilitato a ricoprire la carica per l'anno per il quale era stato eletto, il Consiglio Direttivo designato del Distretto per tale anno sociale procederà senza indugio a nominare o eleggere il successore nei modi previsti nei casi di vacanza delle cariche durante l'anno amministrativo. Il Governatore designato informa dell'ora e del luogo di tale elezione e, in caso di assenza o impossibilità, vi provvederà il Governatore del Distretto.

Sezione 6 - Nel caso in cui il Governatore non possa o sia temporaneamente incapace di svolgere i compiti del suo incarico, il Consiglio Direttivo del Distretto elegge con i due terzi (2/3) dei voti dell'intero Consiglio Distrettuale, un Past Governatore, un Luogotenente Governatore o un Past Luogotenente Governatore che sia socio attivo, anziano o privilegiato di un Club Kiwanis del Distretto per agire come Governatore Facente Funzione fino a quando il Governatore sia in grado di riprendere i suoi doveri d'ufficio. Durante l'assenza del Governatore, il Governatore Facente Funzione diventa l’Officer principale dirigente del Distretto e ha tutti i doveri, responsabilità e autorità conferite al Governatore da questo Statuto e dalla Costituzione e dallo Statuto del Kiwanis International. Se, dopo un periodo di sessanta (60) giorni, risulta al Consiglio che il Governatore continua ad essere impedito a svolgere la sua carica e non è in grado di riprendere i doveri e le responsabilità del suo incarico, il Consiglio può dichiarare vacante la carica del Governatore che verrà ricoperta secondo le norme previste per la vacanza di tale carica come stabilito da questo Statuto.

ARTICOLO XII - DESTITUZIONE DI DIRIGENTI (OFFICER)

Sezione 1 - Qualora il Governatore o una maggioranza del Consiglio Direttivo del Distretto dovesse notare che un Officer non si comporti secondo l'etica kiwaniana o che non svolga i doveri della sua carica, il Consiglio del Distretto dovrà informarlo di tale circostanza per iscritto entro trenta (30) giorni.

Una riunione straordinaria del Consiglio si dovrà tenere entro trentacinque (35) giorni successivi con un preavviso scritto a tutti i membri del Consiglio di almeno ventuno (21) giorni per prendere in esame questa circostanza. La comunicazione di tale notizia si considererà validamente avvenuta dopo cinque (5) giorni dalla spedizione di tale comunicazione. Nel caso in cui il Consiglio con i due terzi (2/3) dei voti dell'intero Consiglio rilevi che l’Officer non si sia comportato secondo l'etica kiwaniana o che non svolga i doveri della sua carica, dichiara tale carica vacante e un nuovo Officer sarà eletto o nominato a tale carica secondo quanto stabilito da questo Statuto.

ARTICOLO XIII - ATTIVITÀ DI PUBBLICO INTERESSE

Sezione 1 - Il Distretto, di volta in volta, può esprimere con i propri mezzi la sua posizione su questioni di pubblico interesse e su proposte di legge che riguardano la comunità del territorio del Distretto, purché alle stesse iniziative non venga interessato un Club Kiwanis non facente parte del Distretto.

Sezione 2 - Nel caso in cui dei Club Kiwanis non facenti parte del Distretto siano coinvolti da iniziative pubbliche, evidenziate alla sezione 1, prima di esprimere un'opinione il Distretto dovrà riferire il caso, con le proprie raccomandazioni, al Consiglio di Amministrazione Internazionale. Una volta ricevuta l'approvazione da parte del Consiglio Internazionale, il Distretto può esprimere la sua opinione pubblicamente attraverso legali ed appropriati mezzi.

Sezione 3 - Il Distretto non può essere coinvolto in nessun modo in questioni politiche, né può partecipare attivamente nell'appoggiare candidature politiche.
